Terms of service
These terms cover the use of Royalty Payouts Paladin (“the app”) by the Shopify merchants who install it. The app is provided by Ioun Developers (“we”, “us”).
Acceptance
Installing or using the app means you accept these terms. If you are installing it for a business, you confirm you are authorised to accept them on its behalf. If you do not accept them, uninstall the app.
The service
The app records what your creators earn on the orders your store takes, assembles those earnings into payout batches for your approval, and, on your instruction, initiates payouts to your creators through your own PayPal account. It also produces statements and reports, and can give your creators a read-only view of their own earnings.
The app is provided as described on this site and on its App Store listing. Features change over time, and the changelog is the record of what changed and when.
Your account and Shopify
The app runs inside your Shopify admin and access to it follows access to that admin. Controlling who has that access is yours to do. Your use of Shopify is governed by your agreement with Shopify, not by this one, and if your Shopify store is suspended or closed the app goes with it.
Billing
Billing runs through Shopify. Plans are chosen and cancelled in Shopify’s own plan picker, the app never handles card details, and we never charge you directly. Current prices, plan names and limits are on the App Store listing. Uninstalling the app ends your use of it.
What is yours to get right
The app calculates and initiates payouts on your instruction. It does not decide what anyone is owed, and it cannot know whether your configuration matches your contracts. You remain responsible for:
- The rules. The rates, the bases, the deductions, the effective dates, the recipients and their splits, the advances, and the products each rule covers.
- Approving batches. No money moves until you approve a batch and send it. Approving is your confirmation that the figures are right.
- Your agreements with your creators. Everything between you and them, including what they are owed, when, in what currency, and what happens when something goes wrong.
- Tax. Withholding, reporting, invoicing and any tax forms your creators or your jurisdiction require. The app does none of this and files nothing on your behalf.
- Your data. The accuracy of what you enter, and having the right to enter it.
Payments are executed by PayPal
We are not a payment processor, a money transmitter, or a party to the payment. When you send a batch, the app submits payout instructions to PayPal using credentials you supplied, and PayPal executes them from your account under your agreement with PayPal. Their terms, fees, limits, eligibility rules and dispute processes apply, and we have no control over whether, when or how a payment settles. The same applies to any other payout provider you connect.
We report what the provider tells us. A payout is marked paid only when the provider confirms the item succeeded, but that confirmation is theirs, not ours.
Not professional advice
The app is software, not advice. Nothing in it or on this site is tax, legal or accounting advice, and none of it is a substitute for your own advisers.
Acceptable use
Do not use the app to break the law, to infringe anyone’s rights, to send payments you are not entitled to send, or to launder money. Do not attempt to access another merchant’s or another creator’s data, to interfere with the service, or to circumvent its limits, rate limits or plan gates. Do not use it to store or transmit anything you do not have the right to.
We may suspend or terminate access for a breach of this section.
Availability
We aim to keep the app running and to fix things promptly, but the service is provided without any uptime guarantee and without a service level commitment. Background work, including payout batch generation, statement emails and payment reconciliation, runs on a periodic sweep and can be delayed by our own outages or by Shopify’s, PayPal’s or our email provider’s. Features can change or be withdrawn.
Data and privacy
What the app stores, who processes it, and how it is deleted are described in the privacy policy. You are the controller of your creators’ data and of the order data the app reads on your behalf; we act as your processor.
Intellectual property
The app, its code, its design and its documentation are ours. These terms grant you the right to use the app while you have a valid installation, and nothing more. Your data, your products, your agreements and your ledger are yours, and we claim no rights in them.
Termination and what happens to your data
You can stop using the app at any time by uninstalling it. We may terminate or suspend access for a breach of these terms, or if we withdraw the app.
On uninstall, your access tokens and session records are deleted immediately. All other data for your store is retained until Shopify sends the store erasure request that follows an uninstall, about 48 hours later, at which point everything is deleted: creators, agreements, rules, the ledger, payout batches, recorded payments, products, portal records and your settings. Reinstalling inside that window restores it. Export anything you want to keep, including your ledger and payout CSVs, before you uninstall.
Disclaimers
To the extent the law allows, the app is provided as it is and as available, without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the app will be uninterrupted or error free, or that its calculations will match any particular contract you have signed.
Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, for lost profits or revenue, for lost or inaccurate data, or for payments made, delayed, duplicated or withheld. Our total liability arising out of or relating to the app is limited to the amounts you paid for it in the twelve months before the claim arose.
Nothing here excludes liability that cannot lawfully be excluded.
Changes
We may update these terms. The date at the top of this page is when it last changed, and continuing to use the app after a change means accepting it. Material changes will be flagged in the app or by email where we reasonably can.
